There seems to be a disconnect between the persons entitled to indemnification (currently defined as officers, directors and members) and the responsibilities assigned to PMC members. My understanding is that non-members can be part of a PMC. If so, then in case of a suit the non-members are not covered by the insurance established in Section 12.6, unless they can be considered "agents of the corporation"?

What is the relationship between the incubator and the board? Does the board or membership establish the incubators?

The bylaws state that membership is not required to be on the board but the governance states that election to the board is a membership right.

A full annual audit requirement is both expensive and unnecessary for a nonprofit corporation at least until significant revenues/expenses begin.

The Standards for Excellence program, a comprehensive ethics and accountability program, recommends the following;
"Nonprofits reporting total annual revenues in excess of $500,000 should be subject to an audit by an independent Certified Public Accountant. Organizations reporting total annual revenues in excess of $300,000 should be subject to a review of financial statements by an independent Certified Public Accountant. Organizations reporting total annual revenues in excess of $100,000 should have a compilation of financial statements prepared by an independent Certified Public Accountant."

PMCs shall activitely discourage communities centered around a few individuals who work virtually uncontested for long periods. We believe that this is detrimental to the quality, relevance, and robustness of products and of the travel demand forecasting industry at large.

1. Fix misspelling of "actively"
2. Given the small size of our community, it is likely some aspects will only have a “few” individuals capable of moving said item forward for a “long” period but then it depends how you define “few” and “long”.

The governance states:
All projects are composed of volunteers and nobody (not even members or officers) are paid directly by the foundation for their job.

however, the bylaws give the board the right to establish compensation levels.
